Le &#171;&#160;G&#160;&#187; touche \u00e0 la gouvernance : transparence, \u00e9thique des affaires, structure des instances de direction, contr\u00f4le interne, r\u00e9mun\u00e9ration des dirigeants.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La premi\u00e8re \u00e9tape, pour une gouvernance qui veut r\u00e9ellement int\u00e9grer l&rsquo;ESG, consiste \u00e0 clarifier ce que ces crit\u00e8res signifient pour l&rsquo;entreprise, compte tenu de son secteur, de sa taille, de son implantation g\u00e9ographique. Une industrie lourde ne se pose pas les m\u00eames questions qu&rsquo;une entreprise de services num\u00e9riques ; une PME r\u00e9gionale ne sera pas expos\u00e9e aux m\u00eames attentes qu&rsquo;un groupe cot\u00e9.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Il est donc essentiel que le conseil d&rsquo;administration et le COMEX identifient les enjeux ESG vraiment mat\u00e9riels pour leur activit\u00e9 : r\u00e9duction de l&#8217;empreinte carbone, pr\u00e9vention des accidents graves, lutte contre les risques psychosociaux, gestion des fins de carri\u00e8re, transparence de la cha\u00eene d&rsquo;approvisionnement, lutte contre la corruption, etc. Cette clarification est la condition pour \u00e9viter l&#8217;empilement d&rsquo;engagements g\u00e9n\u00e9riques sans lien avec le r\u00e9el.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sur le plan strat\u00e9gique, il s&rsquo;agit de traduire les enjeux ESG en orientations concr\u00e8tes : choix d&rsquo;investissements plus sobres et plus s\u00fbrs, repositionnement de certaines activit\u00e9s trop risqu\u00e9es sur le plan environnemental ou social, d\u00e9veloppement de nouvelles offres r\u00e9pondant aux attentes de clients plus attentifs \u00e0 l&rsquo;impact de leurs achats.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sur le plan des d\u00e9cisions, il faut que les crit\u00e8res ESG soient pris en compte dans les dossiers pr\u00e9sent\u00e9s en comit\u00e9 d&rsquo;investissement, en comit\u00e9 de direction, en conseil. Elles sont \u00e0 la crois\u00e9e de nombreux enjeux ESG, en particulier sociaux : sant\u00e9-s\u00e9curit\u00e9 au travail, qualit\u00e9 de vie et conditions de travail, diversit\u00e9, \u00e9galit\u00e9 professionnelle, d\u00e9veloppement des comp\u00e9tences li\u00e9es \u00e0 la transition \u00e9cologique, accompagnement des transformations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ce sont elles qui peuvent faire le lien entre les d\u00e9cisions de la gouvernance et leur traduction dans les pratiques quotidiennes de management. Int\u00e9grer des crit\u00e8res ESG dans les fiches de poste de managers, dans les processus de recrutement, dans les entretiens annuels et professionnels, dans les parcours de formation, c&rsquo;est donner corps aux orientations d\u00e9cid\u00e9es au sommet.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Les managers op\u00e9rationnels, de leur c\u00f4t\u00e9, rendent ces orientations tangibles pour les \u00e9quipes. Nombre d&rsquo;entreprises ont commenc\u00e9 \u00e0 corriger le tir en int\u00e9grant des objectifs li\u00e9s \u00e0 la s\u00e9curit\u00e9, \u00e0 la satisfaction des salari\u00e9s, \u00e0 la r\u00e9duction de l&#8217;empreinte carbone ou \u00e0 la conformit\u00e9 \u00e9thique dans la r\u00e9mun\u00e9ration variable, au moins pour une part. Cette \u00e9volution, loin d&rsquo;\u00eatre symbolique, envoie un signal tr\u00e8s concret : ce qui compte pour l&rsquo;entreprise ne se limite plus \u00e0 la performance financi\u00e8re \u00e0 court terme.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Dans ce mouvement, le dialogue entre la gouvernance, les RH et les managers est essentiel. Les premiers fixent le cap et les exigences ; les seconds traduisent ces exigences en politiques concr\u00e8tes ; les troisi\u00e8mes font remonter la r\u00e9alit\u00e9 des contraintes, des besoins,
